SPECIAL AGENTS MUTUAL BENEFIT ASSOCIATION
CERTIFICATE OF BOARD OF DIRECTORS RESOLUTIONS
We hereby certify that the Board of Directors of the Special Agents Mutual Benefits Association (the "Corporation") unanimously approved the following resolutions at their regular meeting held May 12, 2008:
WHEREAS, SAMBA sponsors a Federal Employees Health Benefits (FEHB) Act plan for its Members (as defined in Article IV of SAMBA's By-laws) under a contract with the U.S. Office of Personnel Management (OPM), and
WHEREAS, the Board of Directors has decided that it is in the best interests of the Corporation and all of its Members to expand eligibility for Membership to all U.S. Government employees and annuitants in order that the FEHB plan may be treated as an open employee organization plan,
NOW THEREFORE, pursuant to Section 6.02(K) of SAMBA's Restated By-laws, it is RESOLVED to amend Sections 4.01 of those By-laws in its entirety to read as follows:
Section 4.01 Eligibility for Membership. Membership in the Corporation shall be open to individuals who are active employees of a SAMBA eligible employing agency or who are retired from a SAMBA eligible employing agency under any established retirement program. For purposes of these By-Laws, the term "SAMBA eligible employing agency" means any branch, department, or agency of the United States Government, including, without limitation the U.S. Postal Service and the U.S. Courts.
AND IT IS FURTHER RESOLVED THAT the Executive Director shall prominently post the By-law amendment on SAMBA's website so that the amendment may be effective no later than July 1, 2008.
